1 What I do
I design and build websites and put them live on a domain you own.
I do not provide ongoing hosting, email, search engine marketing or maintenance unless we agree it separately in writing.
2 Building before you commit
I may build a website for you before you have agreed to buy anything, so you can see it first. You owe me nothing for that.
Until you buy it, the design and the words I wrote stay mine, so please don't copy them or have someone else rebuild them.
3 The order
The pages, the content of each page and the price are set out in the website order form. That is the whole job.
Anything not in the order form is not included, and will be priced separately before I do it.
An order is confirmed when you reply confirming it or return it signed.
4 What you provide
You will give me the information, text, photos and logos the site needs, and tell me promptly if anything is wrong.
You confirm you have the right to use everything you give me, and that it does not infringe anyone else’s rights.
You are responsible for the accuracy of what the site says about your business, including prices, qualifications, registration numbers and claims about your work.
You are responsible for your own legal obligations as a business with a website, including any privacy notice and the rules on displaying your business name and address.
5 Domain and hosting
You buy the domain yourself, in your own name, and pay for it directly.
Until you have paid for the website, it runs on hosting in my account, pointed at your domain. Once you have paid, I move it into an account in your name.
Domain registrars and hosting providers are third parties. Their services are governed by their own terms, and I am not responsible for their outages, price changes or decisions.
6 Price, changes, extra pages and care
£650: the website built and put live on your domain. The changes you ask for before it goes live are included.
£900: the £650 website, plus up to five changes in each month for 12 months from the day it goes live. The changes you ask for before it goes live are included as well.
One change is a change to wording, swapping a photo, or reordering a section, on a single page.
A new page is not a change. Additional pages are £150 each on any option, and that is the whole price of building the page. Changes to it afterwards are charged as changes.
A new feature, or a change of design, is not a change either. I will price it and confirm it with you in writing before doing it.
A defect is not a change. If something I have built is wrong or does not work (a typing error I introduced, a broken link, a form that does not send, a page that does not display properly), I will correct it at no charge whenever it is found, with no time limit. This does not apply to faults caused by changes made by you or anyone else after handover.
After the website goes live, if you have neither the year of changes nor monthly care, changes are £50 for up to five sent to me together in one message, done within two working days.
Monthly care is optional and runs after the website has gone live. It is £29 a month, paid in advance by standing order, and covers up to five changes in each calendar month, done within two working days of my receiving them.
Changes not used in a month do not carry over. New pages, new features and changes of design are not covered by monthly care or the year of changes, and are priced under clauses 6.4 and 6.5.
Monthly care and the year of changes both include a monthly check that the call buttons and form on your website work. Defects are corrected at no charge under clause 6.6 whether or not you have either.
Monthly care has no minimum term. You can stop it at any time by email or WhatsApp, and it ends with the month you have paid for. If a payment reaches me after you have stopped, I refund it. I may change the price by giving you at least one month’s notice, and you can stop before the change takes effect.
The year of changes does not renew by itself. Near the end of the year I will tell you your options, and nothing more is payable unless you choose one. If I stop trading before the year ends, I refund the unused whole months, at £250 a year pro rata.
£350 (the one-page website): a website of a single page, built and put live, with the changes you ask for before it goes live included. If, within 12 months of it going live, you ask me to turn it into a full website, the £350 you have paid counts in full towards the £650 or £900 price, and the pages that make up the full website are included in that price rather than charged under 6.4.
7 Going live and sign-off
Once I have your last change, the website goes live within 3 working days. Either way, it goes live within 14 days of you confirming the order. Working days are Monday to Friday, not counting bank holidays in England. If your domain has not been bought by then, it goes live the day it is.
Changes you ask for after it goes live are covered by the year of changes or monthly care if you have one, and are otherwise charged under clause 6.7.
The website is signed off when you tell me you are happy with it, or 14 days after it goes live with no change asked for, whichever comes first. Sign-off does not end the year of changes.
8 Payment
Nothing is payable while you are deciding. You see the finished website first, and if the design is not right I will change it before any money is due. A deposit of 25% of the price becomes payable when you tell me you want to go ahead. The balance is payable within 7 days of the website going live on your domain.
I am not VAT registered. No VAT is charged on my fees.
If payment has not been received 14 days after it is due, and the website is hosted on an account of mine rather than one of yours, I may take it offline until it is paid. Where the hosting is in your own name I have no such access and no such right: the site stays up and any unpaid balance is simply a debt between us.
Payment is by bank transfer to the account named on the invoice. My bank details will never change by message. If you are ever told they have, check with me before paying.
9 Ownership and handover
When you have paid in full, ownership of the website, its design and the content I wrote for it passes to you, and I hand over every login in writing. Where you have chosen to hold the hosting account yourself, those logins are in your name from the day it is set up rather than at handover. The domain is registered in your name from the start either way.
After that it is yours outright. Any developer can work on it and nothing is locked to me.
I keep the right to reuse my general methods, code and know-how, which are not specific to your business.
I may show your website as an example of my work unless you tell me in writing not to.
10 After handover
The price does not include maintenance, updates or support after the website goes live, other than the year of changes on the £900 option, and monthly care if you choose it.
I am not responsible for changes made to the website by you or anyone else after handover.
11 What I do not promise
I do not guarantee search engine rankings, enquiries, sales or any level of business from the website.
I do not guarantee the website will be available at all times. Availability depends on third-party hosting.
12 Liability
Nothing in these terms limits or excludes my liability for death or personal injury caused by my negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
Subject to clause 12.1, I am not liable for loss of profit, loss of business, loss of revenue, loss of data, loss of goodwill, or any indirect or consequential loss.
Subject to clause 12.1, my total liability to you for everything arising out of a website order is limited to the price you paid me for that website.
I am not liable for any loss arising from content or information you supplied, or from third-party services under clause 5.
If a court finds the limit in clause 12.3 unenforceable, my total liability is instead limited to £1,000. Each limit in this clause is severable.
13 Cancelling
You can cancel before the website goes live by telling me in writing. The 25% deposit is kept for the work already done, and nothing more is owed by either side.
If I cannot get the website live for a reason on my side, I will cancel the order and refund your 25% deposit in full.
Once the website is live on your domain, the price is payable.
14 Confidentiality
I will keep your business information confidential and use it only to build your website.
15 Acceptance and changes to these terms
By confirming a website order after receiving these terms, you accept them.
These terms override any terms of your own, unless I have agreed otherwise in writing.
I may update these terms by sending you a new version. The version in force is the one you were last sent before confirming the order.
16 Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
